Investor and client privacy

We are committed to safeguarding the confidential information provided to us by our current, prospective, and former clients and investors (collectively, “you”). You provide us with nonpublic personal information about yourself and we collect nonpublic personal information about you from a variety of sources, including interviews and other conversations between you and our personnel, as well as applications and other documents that you complete. Among other reasons, we may require you to provide us with nonpublic personal information for purposes of determining your eligibility to invest in a fund or other investment vehicle that we manage, including (i) to complete anti-money laundering / know-your-customer diligence, (ii) to verify your tax jurisdiction and residency, and (iii) to conduct the diligence necessary to rely on the Rule 506(c) private offering exemption.

We do not disclose any nonpublic personal information about you to anyone, except as permitted or required by law. Examples of disclosures that are permitted by law are disclosures to our accountants, auditors, and lawyers, disclosure to the regulators that examine our business, disclosure to investment funds and their respective managers if requested in connection with an investment, disclosure to transfer agents, brokerage firms and the like, in connection with possible in-kind distributions to our investors, and disclosures that you specifically request. One type of disclosure that we may be required by law to provide to the federal government is information about your identity pursuant to the Patriot Act, including the International Money Laundering Abatement and Financial Anti-Terrorism Act. In addition, we may use and disclose information as described in the section below labeled “How We Use Information We May Collect.”

We do not provide personal information about you to mailing list vendors or solicitors for any purpose. Within our funds, we restrict access to nonpublic personal information concerning each client or investor to those employees who have a business reason to need to know that information. In addition, we take commercially reasonable efforts to maintain a secure office and computer environment to attempt to ensure that your information is not placed at unreasonable risk. Please contact us if you have any questions about our privacy policy.

How we use information we may collect

From time to time, we may establish a business relationship with other businesses that we believe to be trustworthy. We only provide our service providers with the information necessary for them to perform services on our behalf. Examples of service providers with which we may share nonpublic personal information include accountants, lawyers, and fund administrators (including for purposes of conducting anti-money laundering / know-your-customer diligence and conducting the diligence necessary to rely on the Rule 506(c) private offering exemption). If we are ever merged, acquired, or sold, or in the event of a permitted transfer of some or all of our assets or equity, we may disclose information collected from you in connection with such transaction. We also reserve the right to disclose any information we collect when required by a valid subpoena or court order, or as otherwise permitted or required by law.
